Terms of Service
The agreement between you and AmazeBase when you use the product.
These Terms of Service (“Terms”) constitute a legally binding agreement between Silbros Trading LLC, a New Mexico limited liability company (“Silbros Trading”, “Company”, “we”, “our”, or “us”), and the individual or entity (“Customer”, “User”, or “you”) accessing or using the Amaze Base platform (the “Platform”).
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms.
1. About the Platform
Amaze Base is a cloud-based business intelligence and operational analytics platform designed for e-commerce businesses. The Platform enables Customers to collect, organize, analyze and visualize operational, inventory, financial, advertising and marketplace information in order to improve business decision-making.
The Platform may integrate with third-party services including online marketplaces, advertising platforms, accounting systems and other business software.
2. Eligibility
You must be at least eighteen (18) years old and legally capable of entering into contracts.
If you use the Platform on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.
3. User Accounts
Users must provide accurate registration information.
Customers are responsible for maintaining the confidentiality of their credentials.
Multi-factor authentication may be required for account access.
Customers are responsible for all activity occurring under their accounts.
Team accounts may contain multiple users with different permission levels.
Account administrators are responsible for managing user permissions.
4. Subscription Plans
The Company may offer:
- Free plans
- Trial plans
- Monthly subscriptions
- Annual subscriptions
- Enterprise agreements
Available features may vary depending on the selected subscription.
The Company reserves the right to modify available plans, pricing, limits and included functionality.
5. Free Trial
Free trials are provided solely for evaluation purposes.
The Company may modify, shorten or discontinue free trials at any time.
Upon expiration of a trial, certain features may become unavailable unless the Customer subscribes to a paid plan.
6. Billing
Paid subscriptions renew automatically unless cancelled before the renewal date.
Monthly subscriptions remain active until the end of the current billing cycle following cancellation.
Annual subscriptions remain active until the end of the purchased term.
Unless otherwise required by applicable law, subscription payments are non-refundable.
The Company may, at its sole discretion, provide refunds or credits in exceptional circumstances.
7. Third-Party Integrations
The Platform may connect to third-party services including Amazon, advertising platforms and other business software.
Customers remain responsible for complying with all agreements governing those third-party services.
The Company only accesses third-party information expressly authorized by the Customer.
Certain functionality depends upon permissions granted by third-party providers and may change without notice due to changes in third-party APIs or policies.
8. Customer Data
Customers retain ownership of all information they upload or authorize the Platform to access.
By using the Platform, Customers grant the Company a limited license to process such information solely for the purpose of providing and improving the Services.
The Company may create aggregated and irreversibly anonymized datasets derived from Customer Data for statistical analysis, benchmarking, research, service improvements, machine learning, product development and industry insights.
Aggregated data will never intentionally identify any individual Customer or disclose confidential business information.
9. Security
The Company implements commercially reasonable administrative, technical and organizational safeguards designed to protect Customer Data.
Security measures may include:
- encryption of data in transit
- encryption of sensitive data at rest
- access controls
- authentication mechanisms
- activity logging
- monitoring
- regular backups
- security reviews
No Internet service can be guaranteed completely secure, and the Company cannot warrant absolute security.
10. User Responsibilities
Customers agree to:
- provide accurate information
- maintain account security
- comply with all applicable laws
- comply with third-party terms
- maintain authorization for connected accounts
- use the Platform responsibly
Customers remain solely responsible for all business decisions made using information provided by the Platform.
11. Acceptable Use
Customers may not:
- attempt unauthorized access to any system
- interfere with Platform operation
- upload malicious software
- distribute malware
- reverse engineer the Platform except where prohibited by law
- attempt to access another customer’s information
- abuse APIs or automated interfaces
- share accounts outside authorized users
- use the Platform for unlawful purposes
- circumvent subscription restrictions
Violation of this section may result in immediate suspension or termination.
12. Intellectual Property
The Platform, including its software, source code, databases, algorithms, interface designs, trademarks, graphics, documentation and content, remains the exclusive property of Silbros Trading LLC or its licensors.
These Terms grant Customers a limited, non-exclusive, non-transferable license to use the Platform during an active subscription.
No ownership rights are transferred.
13. Analytics and Forecasts
The Platform provides analytical tools, forecasts, simulations, recommendations and business insights.
These outputs are generated using available information, assumptions and algorithms.
They are intended solely to assist decision-making.
The Company does not guarantee the accuracy, completeness or suitability of forecasts or recommendations.
Customers remain solely responsible for all purchasing, inventory, pricing, advertising, financial and operational decisions.
14. Availability
The Company uses commercially reasonable efforts to maintain Platform availability.
However, uninterrupted operation cannot be guaranteed.
The Platform may experience outages resulting from:
- scheduled maintenance
- emergency maintenance
- infrastructure failures
- third-party service interruptions
- force majeure events
- Internet failures
The Company shall not be liable for temporary interruptions.
15. Disclaimer of Warranties
The Platform is provided “AS IS” and “AS AVAILABLE.”
To the fullest extent permitted by law, the Company disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement.
16. Limitation of Liability
To the maximum extent permitted by law, the Company’s total cumulative liability arising out of or relating to the Platform shall not exceed the amount paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.
The Company shall not be liable for indirect, incidental, consequential, special, exemplary or punitive damages, including loss of profits, revenue, goodwill, data or business opportunities.
17. Indemnification
Customers agree to indemnify and hold harmless Silbros Trading LLC and its officers, employees and affiliates from claims arising from:
- misuse of the Platform
- violation of these Terms
- infringement of third-party rights
- unlawful activities
- unauthorized use of third-party accounts
18. Suspension and Termination
The Company may suspend or terminate accounts that violate these Terms or create security risks.
Customers may terminate their accounts at any time.
Following termination, Customers may export eligible Customer Data for a reasonable period, subject to applicable policies.
Certain information may be retained where required by law, necessary for fraud prevention, dispute resolution, security purposes or as irreversibly anonymized statistical information.
19. Changes
The Company may modify these Terms from time to time.
Material changes will become effective upon publication on the Platform or other reasonable notice.
Continued use of the Platform constitutes acceptance of the revised Terms.
20. Governing Law
These Terms shall be governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles.
Any dispute arising from these Terms shall be resolved in the state or federal courts located within New Mexico, and the parties consent to the jurisdiction of those courts.
